1.Interpretation

In these trading terms:

"Customer" refers to an individual, legal person or other organization that purchases products from chipsgo by placing an order or other forms recognized by chipsgo;

"Contract" refers to the contract between chipsgo and the customer regarding the supply of products and/or the provision of services, and these transaction terms form an integral part of the contract;

"Products" means the goods or services supplied by chipsgo or to be supplied to the Customer;

"Order" refers to an offer to purchase a product made by a customer through chipsgo online customer service phone number, email, chipsgo online purchasing platform and other methods recognized by chipsgo.

"In writing" includes electronic communications such as fax, email, etc.

2.General provisions

All orders are accepted by chipsgo in accordance with these trading terms. The contract becomes effective when chipsgo receives the customer's full payment or advance deposit. The customer confirms that the customer has fully understood and accepted these transaction terms and chipsgo user agreement before the relevant contract is established. These transaction terms supersede any other terms that previously appeared elsewhere; and these transaction terms negate and exclude any other terms stipulated, included or mentioned by the customer in the order or in the course of negotiations or transactions with chipsgo, unless signed by authorized chipsgo The person has expressed special consent in writing in company documents; the contract issued by chipsgo and these transaction terms constitute the entire and only consensus and agreement between chipsgo and the customer regarding product services or sales or repairs.

chipsgo reserves the right to modify these transaction terms at any time without prior notice. All instructions and illustrations contained in any quotation, delivery date, or other materials communicated to customers are intended to provide an overview only, and any such materials Nothing contained in the materials constitutes the content of the contract between chipsgo and the customer. The content contained in the above materials is only an invitation to treaty issued by chipsgo to the customer, not an offer. chipsgo may correct printing errors, writing errors or other errors in the quotations, price lists, order confirmations, invoices or other documents and data issued by it, and the corrected documents shall prevail.

3. Products and Prices

Product prices are in U.S. dollars. If no period is determined, the inquiry price will be valid for 7 days. chipsgo makes all reasonable efforts to provide the latest and accurate product and product price information, but does not make any guarantees about prices or the accuracy of such information. Product-related information may change at any time without prior notice. Product prices may change at any time before chipsgo agrees to accept the customer's order. After confirming the customer's order, chipsgo reserves the right to change the determined price if chipsgo believes that the exchange rate between RMB and the US dollar has experienced significant fluctuations and/or the original factory price has been adjusted, and/or other uncontrollable factors cause price changes. Once a major error is discovered in the product introduction or its availability information, and such error will affect the customer's chipsgo order to be shipped, or a pricing error is discovered, chipsgo will notify the customer of such correction; at that time, the customer can choose to accept the corrected Product introduction, availability or pricing, and order cancellation. Where Products are supplied in installments (referred to in these Terms of Trading as "Instalments"), the price for Products delivered within 90 days of the date of order shall be the price applicable at the time the first batch of Products is shipped. If installment delivery is likely to last for a period of 90 days or more after the date of order, chipsgo reserves the right to increase the price applicable on the date of shipment of the said batch of products.

If the order you submit contains models that require payment of tariffs or other customs declaration fees, our customer service staff will notify you as soon as possible and inform you of the repayment matters.

4.Order

chipsgo reserves the right to refuse transactions. Once accepted, the customer is obliged to complete the transaction with chipsgo, except for transactions prohibited by law or this user agreement. No order may be canceled without chipsgo's written consent.

5. Payment

If the customer chooses to pay online, the payment must be completed within 12 hours after submitting the order. If the customer chooses to transfer, the remittance must be completed within 24 hours after submitting the order.

If the customer fails to pay the amount on the due date, without prejudice to any other rights or remedies, chipsgo has the right to execute as follows:

(1) cancel the order or suspend any further delivery or performance;

(2) Require customers to pay the full price of goods immediately, even if these payments are due at a later date;

(3) Require customers to pay Chipsgo’s costs incurred in preparing or storing the goods;

(4) The customer will be charged interest on the unpaid amount (just before and after the judgment) at an annual interest rate of 5% in excess of the benchmark interest rate published by the People's Bank of China from time to time until full payment (the date on which the interest is calculated). January is considered a full month).

(5) The customer is required to pay any or all costs incurred by chipsgo in recovering the payment for the goods (including but not limited to litigation costs). chipsgo reserves the right to further pursue losses from the customer for chipsgo’s losses.

6. Delivery and delivery

Chipsgo's quotation does not include logistics, transportation and insurance costs. The delivery time of the goods is subject to the standard delivery time in the chipsgo contract. If the delivery is delayed due to original factory reasons and/or uncontrollable emergencies, chipsgo will not be responsible for the customer. And the customer may not cancel the order because of this. If the receipt of goods is delayed and/or other risks are incurred due to customer reasons, the customer will be responsible for the consequences.

If the customer does not make an explicit agreement on the delivery date or delivery period, the product will be delivered when it is ready, and chipsgo does not guarantee when the product will be ready. If the customer fails to receive the product on the agreed date and method, or fails to receive the product within 10 days after the product is ready without specifying the delivery date and/or delivery method, chipsgo has the right to choose the method it deems most appropriate. Products are delivered at the customer's risk and expense, without prejudice to any other rights or remedies of chipsgo.

7. Inspection, Defects and Non-Delivery

After chipsgo delivers the goods, the customer must confirm receipt and complete the inspection of the product within 7 working days. If the product is found to be significantly defective and unfit for its purpose during reasonable inspection, or does not match the type, specification or quantity of the product specified in the order, or If the customer has any other objections related to the product, he should give chipsgo detailed written notice within one week after delivery and must attach the delivery note. If the Customer fails to give such notice, the Products shall be conclusively deemed to conform in all respects to the Contract and to be free from defects which could be discovered upon reasonable inspection, and the Customer shall accordingly be deemed to have fully accepted the Products.

If a customer receives a damaged package, the customer should take photos of the package to confirm the damage and notify chipsgo immediately before opening the package.

If the customer can fully prove to chipsgo's reasonable satisfaction that the product is inconsistent with the contract or is defective, chipsgo has the right to choose to replace the product, reissue the product, or refund the price paid for the product at its discretion within a reasonable period of time.

8. Risk and Ownership

The risk of damage or loss of the goods will pass to the customer when the goods are unloaded from chipgo's carrier to the customer's premises. chipsgo no longer assumes any responsibility for damage or loss of products after delivery. Ownership of the goods does not transfer to the customer until chipsgo has fully received all amounts due from the customer to chipsgo in any account and the product has been delivered and confirmed by the customer's signature.

9. Return and exchange of goods

Customers may not return any goods without the prior consent of chipsgo. All returned goods are returned at the customer's own risk and expense and should be undamaged by the customer and in their original packaging. Customers are responsible for returning goods to chipsgo and providing proof of delivery for such returns. Appropriate precautions must be taken for goods classified as "statically sensitive".

All goods accepted for return should be returned to chipsgo within one week of chipsgo delivery.

chipsgo reserves the right, at its discretion, to charge a restocking fee of 40% of the invoice value of any goods returned as "unwanted" or "wrongly ordered" goods (minimum fee $100 USD).

chipsgo expressly reserves the right to refuse to cancel orders or returns for the following items:

(1) Products are not sold and shipped by chipsgo;

(2) The original product packaging and cargo labels are damaged or missing;

(3) If the delivery time exceeds one week, the courier receipt date shall prevail;

(4) Loss of issued invoices;

(5) The product has been used by the customer, except for inherent defects;

(6) Problems causing product quality include but are not limited to: accidents, abuse, unreasonable use, misuse, power problems, failure to use and/or store and/or install the product according to product instructions, and failure to take required precautions. Maintenance, normal wear and tear, natural disasters, fire, flood, war, violence or any similar events; debugging, repair or support, processing or resale of products by non-chipsgo personnel or non-chipsgo authorized persons, and use of non-chipsgo products Problems caused by supplied parts.

If chipsgo receives any products that are not sold and shipped by chipsgo, chipsgo will immediately inspect, process and destroy them. For products returned by the customer to chipsgo, the customer certifies that the returned product was purchased from chipsgo and has not been used in whole or in part with the same or similar products from other manufacturers, producers, suppliers, distributors or other channels of the same or similar products. replace.

10.Import and export restrictions

Goods may be subject to import and export control laws, restrictions, regulations and orders of the countries from which the Goods may originate. Customer agrees to comply with all applicable import and export laws, restrictions and regulations of various agencies or authorities, and shall not export for the purpose of re-export to any prohibited or embargoed country, or prohibited by the laws of China or other countries. Deny, block or list individuals or organizations from exporting or transferring goods. The customer shall obtain any licenses at the customer's expense and comply with any applicable import and export regulations of the country to which the goods are sold. chipsgo reserves the right to refuse supply to specific customers or specific countries, and to require customers to provide sufficient details of the end use and final destination of the goods.

11. Application restrictions

Customers are strictly prohibited from using their products with anti-personnel mines or for any purpose in connection with biological, chemical or nuclear weapons or missiles delivering such weapons.

Products may not be used in aerospace or aircraft or other air transportation applications, life support or supply equipment, surgical transplant equipment, or any other application in which failure of the goods would reasonably be expected to result in personal injury, death, environmental damage, or serious property damage. use. The use or inclusion of any products in such devices, systems or applications is strictly prohibited. To the maximum extent permitted by law, chipsgo does not assume any responsibility for any loss or damage caused directly or indirectly by the use of the product for such purposes.

If the customer uses or sells the product in any such prohibited fields and purposes, then

(1) The customer confirms that the customer will bear the risk of such use or sale;

(2) The customer agrees that chipsgo and the product manufacturer shall not be liable in whole or in part for any claims or damages arising from such use;

(3) The customer agrees to indemnify chipsgo and its manufacturers for any and all losses, liabilities and expenses (including legal and other costs) incurred as a result of such inclusion or use, even if the losses are attributable to design or manufacturing defects.

12. Force majeure

If chipsgo's delay or failure to perform any of its obligations under these conditions is due to any cause beyond chipsgo's reasonable control (including but not limited to government actions, war, fire, widespread epidemics, explosions, floods, disastrous weather) , import and export controls or embargoes, labor disputes, inability to supply goods or labor, etc.), chipsgo shall not assume any form of liability to the customer or be regarded as a breach of contract for such delay or failure to perform.

If Chipsgo's performance of the contract is hindered due to the above reasons, Chipsgo may decide at its own discretion to delay performance or cancel all or part of the contract, and will not be held responsible for such delay, cancellation or any failure to deliver.

13. Age requirements for purchasing specific goods

Where the law stipulates a minimum age for the purchase of particular goods, the Customer confirms that he or she personally meets the age requirement and that the goods will be accepted for delivery by individuals who meet the relevant age restrictions.

14.Modify

Unless otherwise agreed in writing, modifications or changes to the contract must be made in writing and must be signed and/or confirmed with a legal authorization seal before they can take effect.
